These Terms of Use ("Terms") govern your access to and use of MagicBio's website, products, and services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.
1) Eligibility
You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2) Account & Security
Provide accurate registration information and keep your credentials confidential. You are responsible for activity on your account. Notify us promptly of any suspected unauthorized use.
3) Your License to Use the Service
Subject to these Terms, MagicBio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business purposes. You may not: (a) copy, modify, distribute, or create derivative works of the Service; (b) reverse engineer or attempt to extract source code except where permitted by law; (c) bypass security or usage-limit controls; (d) resell, lease, or provide the Service to third parties without our written consent.
4) Your Content & Public Profiles
You may upload, post, or otherwise make available content (text, images, video, links, metadata, and other materials) through the Service ("User Content"). Your profile and the links you publish may be publicly accessible by default. Do not post personal data you or others would not want publicly available.
You retain ownership of your User Content. By submitting User Content, you grant MagicBio a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your User Content solely to operate and improve the Service and to display your public profile as configured by you. You represent that you have all rights necessary to grant this license and that your User Content complies with these Terms and applicable law.
We are not obligated to monitor User Content but may remove or restrict content at our discretion (e.g., for alleged illegality, infringement, or policy violations).
5) Acceptable Use
You will not use the Service to: (a) violate laws or others' rights (including privacy and IP); (b) post or link to unlawful, harmful, hateful, harassing, or misleading content; (c) share others' personal data without consent; (d) spam, phish, or conduct fraudulent schemes; (e) introduce malware or disrupt the Service; (f) circumvent rate limits or abuse reporting features.
6) Third-Party Services & Transactions
The Service may allow you to connect accounts (e.g., social platforms, email, analytics, payments) or link to third-party sites. Those third parties are independent of MagicBio with their own terms and privacy policies. Any interactions, purchases, or disputes between you and a third party are solely between you and that third party. MagicBio is not a party to, nor responsible for, such dealings.
Linking to the Service
You may link to our pages provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in a way that suggests any form of association, approval, or endorsement where none exists, and you must not frame our pages without permission. We may withdraw linking permission without notice.
Links from the Service
The Service may contain links to other sites and resources provided by third parties. These links are provided for your convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.
7) Subscriptions, Billing & Taxes
Certain features require a paid subscription. By subscribing, you authorize recurring charges to your payment method at the then-current rates until you cancel. Unless stated otherwise, subscriptions automatically renew at the end of each billing period. You can cancel at any time effective at the end of the current period in your account settings or via your platform provider.
Except where required by law, fees are non-refundable and we may change prices with prior notice. Taxes and foreign exchange fees may apply and are your responsibility. If a payment fails, we may suspend access to paid features until the charge is successful. Some promotions, regional pricing, or app-store terms may vary.
8) AI Features & Disclaimers
The Service may include AI-powered suggestions (e.g., copy, formatting, link organization). AI outputs can be incorrect, incomplete, or outdated. You are responsible for reviewing outputs and ensuring compliance with law and platform rules. AI suggestions do not constitute professional advice.
We may operate our own models and/or use vetted providers under data-protection agreements. We limit data sharing to what is necessary to provide the AI features. See our Privacy Policy for details.
9) Intellectual Property; Takedowns
MagicBio and its licensors own all rights in the Service (excluding your User Content). Trademarks, logos, and brand elements are the property of their respective owners.
If you believe content on the Service infringes your rights, send a notice including: (i) your contact information; (ii) identification of the work allegedly infringed; (iii) the specific URL/content at issue; (iv) a statement of good-faith belief; (v) a statement under penalty of perjury that your notice is accurate; and (vi) your signature. We may remove content and terminate repeat infringers where appropriate. Counter-notices should include the standard elements permitted by applicable law.
DMCA Notices & Counter-Notices
If you believe content on the Service infringes your copyright, send a notice to our Designated Agent with: (i) your name, address, telephone number, and email; (ii) identification of the copyrighted work claimed to be infringed; (iii) identification of the material that is claimed to be infringing (URL or other specific location in the Service) and information reasonably sufficient to permit us to locate the material; (iv) a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; (v) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (vi) your physical or electronic signature.
Upon receipt of a valid notice, we may remove or disable access to the material and terminate repeat infringers as appropriate. If you believe material was removed by mistake or misidentification, you may send a counter-notice that includes: (i) your name, address, telephone number, and email; (ii) identification of the material removed and the location where it appeared before removal; (iii) a statement, under penalty of perjury, that you have a good-faith belief the material was removed due to mistake or misidentification; (iv) your consent to the jurisdiction of the courts in your stated address (or, if outside the United States, to an appropriate jurisdiction where the Service is provided) and that you will accept service of process from the person who provided the original notice; and (v) your physical or electronic signature.

Monitoring and Enforcement
We are not obligated to monitor User Content or activity, but we may review, remove, or restrict content or accounts at our discretion to enforce these Terms, comply with law, or protect users and the Service. We may also cooperate with law enforcement and take any action we consider appropriate for suspected violations.
10) Suspension & Termination
We may suspend or terminate your access immediately for suspected violations of these Terms, risk to the Service, legal requirements, or non-payment. You may stop using the Service at any time. Sections that by their nature should survive (e.g., licenses to User Content already displayed publicly, disclaimers, limitations, indemnity, and dispute terms) will survive termination.
11) Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGICBIO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO MAGICBIO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
13) Indemnification
You will indemnify and hold harmless MagicBio and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content or your use of the Service in violation of these Terms or applicable law.
14) Governing Law & Disputes
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be finally resolved by arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC). The seat of arbitration will be Los Angeles, California, and the language will be English. Judgment on the arbitral award may be entered in any court of competent jurisdiction. You and MagicBio waive the right to a trial by jury and to participate in a class action.
Time Limit. Any cause of action related to the Service must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.
General Terms
Waiver. A failure to enforce any provision is not a waiver of the right to do so later.
Severability. If any provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable; the remainder will remain in effect.
Entire Agreement. These Terms constitute the entire agreement between you and MagicBio regarding the Service and supersede prior agreements on the subject.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force Majeure. We will not be liable for any delay or failure due to causes beyond our reasonable control.
15) Changes to the Terms
We may update these Terms from time to time. We will post the revised Terms with the "Last Updated" date above and, when changes are material, provide additional notice. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
